Shareholder disputes in the Netherlands

Shareholder disputes in Dutch BV companies arise when shareholders disagree over control, profit distribution or the strategic direction of the company.

 

Dutch law provides several instruments to resolve these disputes:

The inquiry procedure (enquêteprocedure) Shareholders holding at least 10% of the issued capital can petition the Enterprise Chamber (Ondernemingskamer) of the Amsterdam Court of Appeal. The court can impose immediate measures — including suspension of a director or transfer of shares to a temporary administrator.

 

The statutory dispute settlement Under Article 2:336 of the Dutch Civil Code, shareholders can be forced to transfer their shares (uitstoting) or force a buyout of their own shares (uittreding).

Interim injunction (kort geding) Where urgent action is required, interim relief can be obtained within days before the District Court.

Director's liability in the Netherlands

Directors of Dutch BV and NV companies can be held personally liable under three grounds:

Internal liability (Article 2:9 DCC) — a director has improperly fulfilled his duties towards the company. A serious personal reproach is required.

 

Liability in insolvency (Article 2:248 DCC) — manifestly improper management that is an important cause of the company's bankruptcy. A statutory presumption applies if accounting or publication obligations have been breached.

 

Tortious liability (Article 6:162 DCC) — the director has personally acted unlawfully towards a third party, such as a creditor.

 

Attachment orders — securing your claim

In Dutch civil proceedings, a creditor can obtain a pre-judgment attachment order (conservatoir beslag) to freeze a debtor's assets before a final judgment is obtained. This prevents the debtor from dissipating assets during the proceedings.

 

Attachment can be placed on bank accounts, real estate, shares and other assets. We handle the full procedure — from filing the attachment request with the court to enforcing the final judgment.

 

Insolvency and restructuring

We advise and litigate in all phases of Dutch insolvency proceedings:

  • Bankruptcy (faillissement)

  • filing and defence

  • Suspension of payments (surseance van betaling)

  • WHOA restructuring

  • court-approved debt restructuring without full bankruptcy
